Terms of Service
Version 2.1 · effective 31 October 2026
These terms are the agreement between you and Ingenious Nexus when you create an account or use the service. If you accept them for a business, you confirm you're authorised to bind it. Please read them, especially the clauses in bold, which limit our liability or place obligations on you.
1. Who we are
Ingenious Nexus (Pty) Ltd, a private company registered in South Africa (registration number 2025/198437/07).
449 Ramogotsi Section, Chaneng, Rustenburg, 0310, South Africa.
Contact: use the contact form on our website or write to us at the address above. Our Privacy Policy, Refund and Cancellation Policy and Cookie Policy form part of these terms.
2. The service
Ingenious Nexus is online software for quoting, invoicing, recording payments and expenses, importing and reconciling bank statements, preparing VAT figures and producing financial reports. It is a record-keeping tool. It does not provide accounting, tax, legal, credit or financial advice, it is not a bank or payment service, it does not lend money or arrange credit, and it does not submit returns to SARS for you. Features that are planned but not available are described as such on our website.
3. Who may use it
You must be at least 18 and able to enter into a binding agreement. The service is meant for businesses and the people who work for them.
4. Your account
- Keep your password private, use a strong one, and turn on two-step verification. Tell us straight away if you suspect someone else has access.
- You are responsible for what happens under your account and for the access you give team members. Give each person only the role they need.
- Keep your details accurate, including your business's registration and VAT details printed on documents.
5. Acceptable use
You may not use the service to break the law (including tax, consumer and data protection law), issue false or misleading documents, process personal information you aren't entitled to process, upload malicious code, probe or overload the service, get around security or plan limits, or resell it without our written agreement.
6. Your data and your responsibilities for it
- The records your business captures belong to it. We process them only to provide the service, as an operator under POPIA (see the Privacy Policy). You can export reports and lists at any time.
- You are responsible for checking the documents and figures you issue or file, including VAT calculations, and for keeping records for as long as the law requires.
- You confirm you have a lawful basis to load personal information about your customers, suppliers and staff, and that you'll tell them how you use it.
7. Demo, plans and payment
- Demo. Each new business gets a 14-day demo with every feature and no payment details required. There is no free plan: when the demo ends, the business is closed until a paid plan is chosen. Nothing captured is deleted.
- Prices. Plan prices are shown on our website and on the Plan & billing page, in South African rand. Ingenious Nexus is not currently registered for VAT, so no VAT is charged; if that changes we'll tell you before it affects your price.
- Billing. Plans are paid monthly or yearly in advance. When you choose or renew a plan we email an invoice, payable by EFT within the number of days stated on it. Plans renew automatically at the end of each period until cancelled.
- Changing plans. A change starts a new period on the day you make it; unused paid time on your previous plan is credited against the new invoice.
- Late payment. If an invoice is unpaid after its due date we'll remind you. If it is still unpaid after the grace period stated in the reminder, the account is put on hold (only Plan & billing stays available) until it is paid. We don't charge interest on late subscription payments.
- Add-ons. HR and Payroll are optional add-ons for any plan, priced per month with a number of employees included and a price for each additional employee, as shown on our website and the Plan & billing page. The number of employees is counted on the day each invoice is made. An add-on taken during a paid period is invoiced pro rata for the rest of that period. A removed add-on keeps working until the end of the period already paid for.
- Price changes. We'll give at least 30 days' notice of a price increase. It applies from your next renewal, and you may cancel before then.
8. Cancelling
You can cancel at any time under Settings → Plan & billing. Your plan stays active until the end of the period you've paid for and then isn't renewed. Refunds are dealt with in the Refund and Cancellation Policy, which also explains the rights consumers have under the Consumer Protection Act and the Electronic Communications and Transactions Act.
9. Suspension and termination by us
We may suspend or close an account for non-payment (as above), serious or repeated breach of these terms, fraud, or where the law requires it. Except in urgent cases (for example to stop fraud or a security threat) we'll warn you first and give you a reasonable chance to fix the problem. After closure we keep records for the retention periods in the Privacy Policy, and on request we'll give you a copy of your business's data in a common format.
10. Availability and changes
We work to keep the service available and secure but can't promise it will never be interrupted, for example during maintenance or outages at our hosting providers. We may improve or change features; if a change materially reduces what your plan includes, we'll tell you in advance and you may cancel and receive a pro-rata refund of the unused period.
11. Intellectual property
The software, design, logo and content of the service belong to Ingenious Nexus or its licensors. We grant you a non-exclusive, non-transferable right to use the service for your business during your subscription. Your business keeps all rights in its own data.
12. Liability
To the extent the law allows, we are not liable for indirect or consequential loss (such as lost profit, penalties or interest charged by SARS as a result of figures you filed without checking) and our total liability for any claim is limited to the subscription fees you paid in the twelve months before the claim arose. This doesn't limit liability for gross negligence, fraud or wilful misconduct, or any right you have under the Consumer Protection Act that can't lawfully be limited.
13. Complaints and disputes
Please contact us first: use the contact form on our website or write to us at the address above. We aim to acknowledge complaints within two business days and resolve them within 20 business days. If we can't resolve a dispute, either party may refer it to mediation, and consumers may also approach the National Consumer Commission or another applicable ombud. Nothing here stops either party from going to court.
14. Electronic agreement
You accept these terms electronically when you create an account, and we record the version you accepted and when. Notices to you will be sent to your account email or shown in the app. You can save or print this page at any time.
15. General
These terms are governed by the laws of the Republic of South Africa, and South African courts have jurisdiction. If a clause is found unenforceable, the rest remains in force. A delay in enforcing a right isn't a waiver of it.
Changes to this document
We'll update this document when our services or the law change, and show the new version number and date at the top. For material changes affecting account holders we'll also notify you by email or in the app before they take effect.
